Role Definition
An opportunity has arisen for a 12-month fixed term contract, for an entry-level company secretary to join this high profile, fast-paced Group. This role will provide training on a broad range of core company secretarial duties including shares related matters and support the department to achieve the highest governance standards by maintaining accurate and organised records.
There will be ample opportunity to get involved with a range of projects working with all team members. The role calls for a confident and upbeat self-starter with a good understanding of company secretarial role and company law who is eager to learn and apply their knowledge.
As the Trainee Company Secretarial Assistant you will have responsibility to assist the Company Secretarial team in managing the provision of services to the Group’s boards, shareholders and the business in accordance with Group policy to achieve targets, develop the business and deliver an excellent and comprehensive service.
Key Responsibilities

Assist in the arranging of board and committee meetings including board paper production and following up on board action points

Assist in minute-taking of non-regulated subsidiary board or committee meetings

Assist in the maintenance of Divisional statutory books to ensure timely and accurate filings including tracking and diligent filing of meeting minutes

Assist in the management of Group and Divisional subsidiary share transactions including drafting of documentation to shareholders, transfer and allotment of shares and share-related reconciliations

Assist in maintaining Group subsidiary statutory records via Diligent Entities
-
Assist with the update and management of Group corporate structure charts and process maps
-
Drafting and proof reading documents (including minutes, annual reports etc.)

Filing forms and documentation with Companies House
-
Assist in the implementation and maintenance of an up to date, structured Company Secretariat filing and archiving system

Assist in M&A activity, Group-wide projects and ad hoc matters

Ability to make use of new technology and systems within the company secretarial environment, including new and additional modules within Diligent Entities;

Technical knowledge and accuracy;

Have good project management, planning and organisational skills; ability to handle own time, prioritise and meet timelines without compromising on quality; and

Ability in problem analysis, troubleshooting and resolution.
Key Competencies (Knowledge and experience)

Diligent Entities experience (or equivalent) (desire);
-
Diligent Boards experience (or equivalent) (desire);

Knowledge of existing UK statutory and regulatory legislation; and
Professional Qualifications
-
Recognised degree or equivalent qualification (ideally Finance or Law)

Have achieved GradCG status or be studying for the Chartered Governance Qualifying Programme

Good Microsoft Office Knowledge
